Terms of Service

Last updated: August 26, 2026

These Terms of Service ("Terms") govern engagements for services between you ("client") and Script2Learn.

1. Acceptance of terms

By engaging Script2Learn for a project, you agree to be bound by these Terms. If you do not agree, do not engage us for services.

2. Description of service

Script2Learn builds learning content - courses, slide decks, knowledge-base articles, assessments, video lessons, and related deliverables, including SCORM/cmi5-ready packages - from source material you provide. Each engagement is scoped as a project: we agree on what you'll hand over, what we'll deliver, and in what formats, before work begins.

3. Source materials & use of our services

You are solely responsible for the content of any materials you provide to us and for ensuring you have the necessary rights to use them and to have us process them on your behalf. You agree not to provide us unlawful, infringing, or malicious content. We'll ask reasonable questions to structure the work correctly; you agree to review and approve the structure and script we produce before we move into full production, and to give feedback in the review rounds included in your project's scope.

4. Intellectual property

You retain all ownership rights in the source materials you provide and in the deliverables we produce from them. We retain all rights in our own internal tooling, processes, and any templates or branding of ours used to produce your work. Deliverables are yours outright once a project is paid in full: you receive finished files, not a login to a platform, and are free to re-skin, re-cut, or reuse them as you see fit.

5. Payment

Projects are quoted and invoiced per engagement, not sold as a subscription. Payment terms (deposit, milestones, or payment on delivery) are agreed before work begins and set out in your project quote. Fees are non-refundable for work already completed except where required by law. We may adjust our rates for future engagements at any time; a quote already agreed is honored as quoted.

6. Ending an engagement

Either party may end an active engagement with reasonable notice. If you end a project before completion, you owe us for work completed to that point; we will deliver whatever has been finished up to that point that is reasonably deliverable. We may pause or end an engagement if you materially breach these Terms or fail to pay applicable fees, typically after notice and a reasonable opportunity to cure where practical. Ending an engagement does not affect ownership of deliverables already paid for.

7. Disclaimer & limitation of liability

Our services are provided "as is," without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement, beyond what's expressly agreed in your project scope. To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, or consequential damages, and our total liability arising from these Terms or a project will not exceed the amount you paid us for that project.

8. Governing law

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws principles.

9. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by an updated date on this page.
